Anthropic Files IPO Paperwork, Beats OpenAI to Market

June 19, 2026

Anthropic submitted confidential IPO paperwork to U.S. regulators on June 1, just four days after closing its $65 billion funding round, putting it ahead of OpenAI in a public listing race that will force the first full, audited disclosure of what these AI companies actually earn and spend.

Anthropic filed confidential IPO paperwork with U.S. regulators on June 1, 2026. Just four days earlier, the company had closed a $65 billion funding round at a $965 billion valuation. The speed of the move surprised most observers, who had expected the filing later in the summer.

The word "confidential" here has a specific meaning. Anthropic submitted a draft version of a document called an S-1 to the Securities and Exchange Commission. The SEC reviews it privately, asks questions, and the company revises it. Only after that process does the full document become public, at which point anyone can read it. No share price, no listing date, and no number of shares have been set. A listing around October 2026 is the most commonly cited target, though that depends on SEC review timing and market conditions.

The S-1, when it does go public, will be the most important document Anthropic has ever produced. Every revenue figure the company has shared so far has come from Anthropic's own announcements, made during funding rounds. Lying to investors in that context carries serious legal consequences, so the numbers carry some weight, but they have never been independently audited. The public filing will contain audited financial statements for the first time. It will show the real cost structure: what Anthropic actually pays for the computing power it uses, what it pays in salaries, and what the true profit margin looks like after those costs are deducted.

The cost side is where the questions sit. Anthropic has committed to paying SpaceX $1.25 billion per month to use computing capacity at its Colossus 1 data center in Memphis through May 2029. That is $15 billion a year for one infrastructure contract alone, before research costs, staff, or anything else. The company projects its first quarterly operating profit of roughly $559 million in the quarter ending June 2026. That would make it the first major AI lab to post a quarterly operating profit. But the company does not expect to stop burning cash overall until 2027 or 2028.

Beating OpenAI to the market is not just a symbolic win. Both companies will be raising tens of billions of dollars from public investors in a compressed window. Analysts note that whichever company lists first tends to absorb stronger demand before investor fatigue sets in. OpenAI reportedly filed its own confidential paperwork around May 22 but has not confirmed it, and is eyeing a September 2026 debut. SpaceX went public on June 12, giving the market its first benchmark for how these enormous AI-era listings are actually received.

For business operators, the practical relevance of Anthropic's IPO is not about whether to buy shares. It is about what the public filing will reveal. Once the full S-1 is out, procurement managers and finance directors will have access to independently verified data showing exactly how much large organizations are spending on Claude, what customer concentration looks like, and what the risks are that even Anthropic's own board considers significant enough to disclose in a legal document. That is far more useful for internal decision-making than any press release the company has published.

The accounting question that has hung over Anthropic's revenue figures will also get resolved. OpenAI previously claimed Anthropic's method of counting revenue through cloud platforms inflates the headline number by several billion dollars. The S-1 will clarify how the auditors treat that, and what the net figure actually is. If the number holds up, the growth story is real. If it adjusts significantly downward, that resets the baseline for every enterprise contract negotiation happening right now that references Anthropic's market position.
